MECAD GROUP OF COMPANIES – TERMS AND CONDITIONS
These Terms and Conditions (“Terms“) apply exclusively to the ELITE ENHANCED SUBSCRIPTION BENEFITS offered by the MECAD Group of Companies (“MECAD”). Customers who accept any benefit under this offer agree to be bound by these Terms.
Eligibility: The benefits described herein are exclusively available to customers with an active Elite Enhanced Subscription through MECAD. Customers with an Essential Enhanced Subscription are entitled only to one (1) named-user SolidProfessor license per SOLIDWORKS CAD license and are not eligible for the additional benefits.
1. TERMINOLOGY AND DEFINITIONS
1.1. For the purposes of these Terms and Conditions, the following terms shall have the meanings set out below, unless otherwise indicated in the context:
- “MECAD”: Refers to the MECAD Group of Companies, including MECAD Systems (Pty) Ltd, MECAD Technologies (Pty) Ltd, MC Technology Staffing (a division of MECAD), and any other affiliated entities authorised to deliver subscription-related services.
- “Elite Enhanced Subscription”: A subscription tier offered by MECAD that includes access to additional value-added services and benefits, as outlined in this document.
- “Essential Enhanced Subscription”: A lower-tier subscription package that includes limited benefits, specifically one (1) named-user SolidProfessor license per SOLIDWORKS CAD license, without access to Elite benefits.
- “Customer”: Any business entity or individual that has purchased an Elite Enhanced Subscription from MECAD and is eligible to receive benefits described herein.
- “SOLIDWORKS CAD License”: A validly purchased and registered seat of SOLIDWORKS computer-aided design (CAD) software, under active subscription with MECAD.
- “SolidProfessor”: A third-party provider of e-learning content and training tools for engineering design software, to which MECAD resells access as part of subscription benefits.
- “Named-User License”: A license assigned to a specific individual that cannot be transferred or shared, unless otherwise permitted by the applicable provider’s terms.
- “Ask-an-Expert Session”: A scheduled, remote two-hour support session provided by a qualified MECAD consultant to assist the customer with technical queries or software issues.
- “Consulting Project”: A defined scope of work performed by MECAD Technologies (Pty) Ltd for the customer, typically billable on a per-hour or per-project basis.
- “Service Level Agreement (SLA)”: A formal contract between MECAD Technologies and the customer that outlines ongoing support, response times, deliverables, and service scope over a 12-month term.
- “myCADtools”: A third-party suite of productivity tools for SOLIDWORKS users, offered optionally at a discounted rate under the Elite Enhanced Subscription.
- “MC Technology Staffing”: A recruitment division of the MECAD Group, offering technical staffing and placement services to engineering and manufacturing clients.
- “Scheduled Instructor-led”:Any classroom-based training course conducted by MECAD Systems on a scheduled date, intended for multiple attendees from various customers. The course proceeds only if the minimum required number of participants is met. It is not a one-on-one session.
- “Annual CTC”: Cost to Company – the total annual remuneration payable to a candidate, used as the basis for calculating recruitment placement fees.
- “Subscription Cycle”: The 12-month period beginning on the activation or renewal date of the customer’s Elite Enhanced Subscription.
- “Third-Party Services”: Any service or product not developed or directly controlled by MECAD, including but not limited to SolidProfessor, myCADtools, and other partner platforms.
- “Benefit” or “Subscription Benefit”: Any value-added service, discount, license, or entitlement made available to Elite Enhanced Subscribers as outlined in this document.
2. ELITE ENHANCED SUBSCRIPTION BENEFITS
2.1. SolidProfessor Seats
2.1.1. Customers with an active Elite Enhanced Subscription will receive three (3) named-user SolidProfessor licenses for each SOLIDWORKS CAD license. Customers with an active Essential Enhanced Subscription will receive one (1) named-user SolidProfessor license per SOLIDWORKS CAD license.
2.1.2. The SolidProfessor Terms and Conditions governing the provision and use of SolidProfessor licenses shall apply in full and shall be read in conjunction with the terms and conditions contained in this document. Together, these terms govern the use of SolidProfessor licenses provided as part of the Enhanced Subscription Service Benefits.
2.2. Access to On-demand Training with SolidProfessor for each Subscribed User.
2.2.1. Each subscribed user will be granted access to on-demand training content provided by SolidProfessor, subject to the applicable SolidProfessor Terms and Conditions. MECAD makes no representations or warranties regarding the content, availability, or performance of SolidProfessor services. Access is provided solely for the duration of the valid Enhanced Subscription and is non-transferable. Use of the training platform is governed entirely by SolidProfessor’s licensing terms, and continued access is contingent on compliance with those terms.
2.3. Fully Customisable Training, Reporting and Progress Tracking Dashboards with SolidProfessor.
2.3.1. As part of the Enhanced Subscription, MECAD offers access to SolidProfessor’s customisable training, reporting, and progress tracking dashboards to subscribed users. These features are delivered and maintained by SolidProfessor, and their availability and functionality are governed exclusively by SolidProfessor’s Terms and Conditions. MECAD acts as a value-added reseller and does not warrant the performance, accuracy, or uninterrupted availability of these services. Access is contingent upon the user’s compliance with SolidProfessor’s licensing terms and the customer maintaining a valid Enhanced Subscription through MECAD.
2.4. Scheduled Instructor-led Training Credit – (Elite Enhanced Subscribers Only)
2.4.1. Customers are entitled to a R3,000 discount on any standard scheduled training course offered by MECAD Systems for each SOLIDWORKS CAD license covered under an active Elite Enhanced Subscription.
2.4.2. Discounts are non-transferable and may not be combined, accumulated, or split across multiple training courses. Each discount is applicable to a single training course only.
2.4.3. Discounts are not valid for customised training or unscheduled training sessions.
2.4.4. Each eligible user on an active Elite Enhanced Subscription may redeem one (1) discount voucher per Subscription Cycle.
2.4.5. All standard scheduled training course Terms and Conditions shall apply in conjunction with these terms.
2.5. Ask an Expert Session – 2 Hour – (Elite Enhanced Subscribers Only)
2.5.1. Customers with an active Elite Enhanced Subscription are entitled to one (1) continuous two-hour Ask–an-Expert Session per SOLIDWORKS CAD license per subscription year.
2.5.2. Each session must be scheduled as a single, uninterrupted two-hour block. Sessions may not be split, combined, or carried over.
2.5.3. Sessions must be booked through the official MECAD “Ask-an-Expert” booking page, accessible via the MECAD website.
2.5.4. MECAD will assign a qualified representative based on the details provided during the booking process. MECAD reserves the right to determine the most appropriate resource for the session.
2.5.5. All Ask-an-Expert sessions will be delivered remotely via online platforms.
2.5.6. Should a session conclude before the full two-hour duration, the remaining time will be forfeited and cannot be rescheduled or credited.
2.5.7. If additional time is required beyond the included two-hour session, customers may purchase consultation hours at MECAD’s prevailing standard consulting rates, subject to availability.
2.6. Consulting Project Discount Offer - (Elite Enhanced Subscribers Only)
2.6.1. Customers with an active Elite Enhanced Subscription are entitled to a one-time 20% discount on a single consulting project of up to thirty (30) hours, to be delivered by MECAD Technologies (Pty) Ltd.
2.6.2. This benefit is limited to one use per company and is only valid for projects that are quoted and formally accepted during the customer’s current subscription renewal cycle.
2.6.3. Any consulting hours exceeding the thirty (30) hour cap will be billed at MECAD’s prevailing standard consulting rates.
2.6.4. This discount may not be used in conjunction with any other promotional offer or additional discount provided by MECAD.
2.6.5. All consulting services under this offer will be subject to MECAD Technologies’ standard consulting and Service Level Agreement (SLA) terms, which apply in conjunction with these promotional terms.
2.6.6. Customers may only redeem either the Consulting Project Discount (Clause 1.6) or the Annual SLA Discount (Clause 1.7) per subscription year — not both.
2.7. Annual SLA Discount Offer - (Elite Enhanced Subscribers Only)
2.7.1. Customers with an active Elite Enhanced Subscription are entitled to a 10% discount on the total annual value of a signed Service Level Agreement (SLA) with MECAD Technologies (Pty) Ltd.
2.7.2. The discount is valid for the full duration of the signed twelve (12) month SLA term.
2.7.3. In the event of early termination of the SLA by the customer, the discount will be reversed, and all fees will be recalculated at MECAD’s standard consulting rates.
2.7.4. This discount may not be used in conjunction with any other promotional offer or additional discount provided by MECAD.
2.7.5. All services provided under the SLA are subject to MECAD Technologies’ standard consulting and SLA terms, which shall apply in conjunction with these promotional terms.
2.7.6. Customers may only redeem either the Consulting Project Discount (Clause 1.6) or the Annual SLA Discount (Clause 1.7) per subscription year — not both.
2.8. myCADtools Subscription with 50% Discount – (Elite Enhanced Subscription Only)
2.8.1. Customers with an active Elite Enhanced Subscription are eligible for a 50% discount on a myCADtools annual subscription, quoted separately and optionally through MECAD.
2.8.2. This benefit is optional and must be explicitly requested by the customer. The discounted subscription will be quoted separately and is not automatically included as part of the Elite Enhanced Subscription.
2.8.3. The discount applies to the annual license fee for myCADtools and is available once per year for each SOLIDWORKS CAD license covered under the customer’s Elite Enhanced Subscription.
2.8.4. Customers will remain eligible for the 50% discount on annual renewals of myCADtools providing they maintain an active Elite Enhanced Subscription through MECAD. Renewal discounts must be requested prior to the myCADtools renewal date to remain valid.
2.8.5. This discount cannot be applied retroactively to existing or previously renewed myCADtools subscriptions and may not be combined with any other promotion or bundled offer unless otherwise agreed in writing by MECAD.
2.8.6. myCADtools licenses are provided under the publisher’s standard license agreement and terms of use, which apply in full. MECAD acts as a value-added reseller and makes no warranties regarding feature set, compatibility, or roadmap.
2.8.7. MECAD reserves the right to modify or discontinue the discounted offering at its sole discretion. However, any changes will not affect discounts already approved and invoiced during the customer’s current subscription period.
2.8.8. MECAD is not responsible for changes in pricing, licensing models, or technical support decisions made by the publisher of myCADtools.
2.9. Discounted Recruitment Placement Fee – (Elite Enhanced Subscription)
2.9.1. Customers with an active Elite Enhanced Subscription through MECAD are entitled to a reduced recruitment placement fee when using MC Technology Staffing, a division of MECAD Group of Companies.
2.9.2. The prevailing standard recruitment placement fee for MECAD clients is 14.5% of the candidate’s annual Cost to Company (CTC). Clients subscribed to the Elite Enhanced package benefit from a reduced rate of 11.5%, representing a 3% discount on the standard fee.
2.9.3. To qualify for the discounted Elite placement fee, the customer must:
2.9.3.1. Maintain an active Elite Enhanced Subscription at the time of hiring the recommended candidate.
2.9.3.2. Provide MC Technology Staffing with a valid and accurate job specification.
2.9.3.3. Appoint the candidate recommended by MC Technology Staffing.
2.9.3.4. Sign and return MC Technology Staffing’s standard T’s & C’s of Recruitment, indicating Elite status.
2.9.4. The discount applies to permanent placements only and is calculated based on the final agreed annual CTC of the hired candidate.
2.9.5. This offer may not be combined with other recruitment promotions, discounted rates, or volume placement deals unless otherwise agreed in writing by MC Technology Staffing.
2.9.6. All recruitment services are governed by MC Technology Staffing’s standard Terms and Conditions, which apply in full in conjunction with these promotional terms.
2.9.7. MECAD reserves the right to amend or withdraw this benefit at its discretion, provided that any discount already quoted or accepted will remain valid for the duration of the respective engagement.
3. ELIGIBILITY AND ACCESS TO BENEFITS
3.1. The benefits outlined in this document are available exclusively to customers with an active Elite Enhanced Subscription purchased through MECAD Group of Companies (“MECAD”).
3.2. Customers subscribed to the Essential Enhanced Subscription are eligible only for one (1) named-user SolidProfessor license per SOLIDWORKS CAD license. No additional benefits described in this document shall apply to Essential Enhanced Subscribers.
3.3. To remain eligible for the benefits described herein, customers must maintain a valid, fully paid Elite Enhanced Subscription throughout the benefit term. Suspension, lapse, or early termination of the subscription may result in the loss or reversal of benefits.
3.4. Benefits may not be exchanged for cash or credit and are non-transferable unless explicitly stated otherwise within the terms of a specific benefit.
3.5. All benefits are subject to the availability of MECAD resources, platforms, and third-party services (such as SolidProfessor), and MECAD reserves the right to amend, modify, or discontinue any benefit at its sole discretion by providing notice to affected customers.
3.6. Customers must comply with all applicable MECAD and third-party terms (e.g., SolidProfessor Terms and Conditions). Failure to comply may result in the suspension or termination of access to benefits without refund or recourse.
3.7. These benefits are valid only during the subscription renewal cycle in which they are offered and must be claimed, booked, or activated within the applicable benefit period unless otherwise stated in the specific terms of the benefit.
3.8. MECAD reserves the right to track usage and redemption of all subscription benefits to ensure compliance, measure customer adoption, and improve service delivery. Usage data may be shared with the customer upon request.
4. VALIDITY
4.1. The benefits detailed in this document apply only for the duration of an active Elite Enhanced Subscription purchased through MECAD and are valid solely within the associated subscription renewal cycle unless otherwise explicitly stated.
4.2. Benefits must be used or booked within the same Subscription Cycle they are issued. Unused benefits will be forfeited with no refund, credit, or rollover.
4.3. MECAD reserves the right to modify, suspend, or discontinue any benefit at any time, with prior notice to affected customers where practicable. Such changes shall not affect benefits already granted unless expressly communicated.
4.4. Any consulting discounts, training credits, or special offers are only valid for the specified projects, sessions, or services quoted and accepted during the current subscription period.
4.5. Early termination, suspension, or non-renewal of the Elite Enhanced Subscription will result in immediate expiration of all associated benefits.
4.6. Access to third-party services such as SolidProfessor is subject to the continuation of both the customer’s subscription and the third-party provider’s service availability and terms.
4.7. Access to the Elite or Essential Enhanced Subscription Benefits is conditional upon full payment of the applicable subscription fees in accordance with MECAD’s standard payment terms. Failure to make timely payment may result in suspension or cancellation of benefits without further notice. All payments are subject to the terms set out in the corresponding sales order, invoice, or customer agreement.
5. GENERAL TERMS
5.1. These Terms, together with any applicable third-party agreements (e.g., SolidProfessor), constitute the complete agreement between the customer and MECAD regarding the Elite Enhanced Subscription.
5.2. MECAD may update or amend these Terms at any time, with changes taking effect upon customer notification.
5.3. All benefits are provided “as is,” without any express or implied warranties, including those of merchantability, fitness for a particular purpose, or non-infringement.
5.4. MECAD shall not be liable for any indirect, incidental, or consequential damages arising from use or inability to use any benefit or service, including third-party tools like SolidProfessor.
5.5. Customers are responsible for complying with all applicable laws and third-party terms associated with the use of subscription benefits.
5.6. If any part of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in effect.
5.7. MECAD shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including natural disasters, acts of war, civil unrest, pandemics, government restrictions, power or internet outages, or third-party service failures.
5.8. These Terms are governed by the laws of the jurisdiction in which MECAD operates. Disputes shall be resolved via mechanisms in MECAD’s standard agreements or, if none exist, through the competent courts in MECAD’s jurisdiction.
5.9. Each entity within the MECAD Group is solely responsible for services it provides. No cross-entity liability shall apply unless explicitly agreed in writing.
5.10. Customer information and user data necessary to facilitate third-party services (e.g., usernames and email addresses for SolidProfessor access) may be shared securely with those providers. MECAD shall handle such data in accordance with applicable data privacy laws, including POPIA where applicable.
5.11. No refunds or credits will be issued for partially used or redeemed benefits once a Subscription Cycle has commenced, and benefits have been accessed.
5.12. MECAD reserves the right to update or amend these Terms and Conditions without prior notice.
6. COPYRIGHT AND INTELLECTUAL PROPERTY INFRINGMENT
6.1. MECAD Group of Companies (“MECAD”) disclaims any responsibility or liability for patent, copyright, trademark, or other intellectual property infringements related to the customer’s projects or deliverables.
6.2. Should MECAD become aware or reasonably suspect that any work requested or performed may infringe upon intellectual property rights—including but not limited to patents, copyrights, trademarks, or proprietary ideas—MECAD reserves the right to suspend all work immediately until the customer provides sufficient evidence or documentation demonstrating that no such infringement or violation exists.
6.3. Upon receipt of such validation, MECAD will review and evaluate the information at its sole discretion. Based on this evaluation, MECAD reserves the right to decide whether to continue or discontinue the provision of services.
6.4. In the event MECAD decides to discontinue work due to unresolved intellectual property concerns, MECAD will notify the customer in writing on official company letterhead within five (5) business days of the decision.
6.5. The customer acknowledges that the obligation to provide such validation is their sole responsibility and that MECAD’s decision to withhold or discontinue work in these circumstances shall not be deemed a breach of contract or grounds for liability.
7. INDEMNIFICATION
7.1. MECAD Group of Companies (“MECAD”) agrees to take all reasonable measures to ensure the accuracy and integrity of data created, updated, or approved as part of the services provided. However, MECAD makes no warranties or guarantees regarding the completeness, correctness, or suitability of any data.
7.2. MECAD expressly disclaims any liability for data loss, errors, or inaccuracies arising from the use, creation, or modification of data under these Terms. The customer acknowledges that all data and outputs are provided “as is” and that MECAD cannot be held responsible for any consequences resulting from data-related issues.
7.3. This agreement constitutes a commitment to perform services diligently but does not guarantee any specific outcome, result, or performance standard.
7.4. Approval of any drawings, models, or designs provided by MECAD is based solely on CAD data integrity and does not constitute a structural, engineering, or regulatory sign-off or certification. Accordingly, neither MECAD nor any company within the MECAD Group, nor any of their employees or agents, shall be liable for any claims, damages, or losses related to structural integrity, safety, or compliance arising from the use of such drawings or designs.
7.5. The customer agrees to indemnify, defend, and hold harmless MECAD and its affiliates, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to the customer’s use of the data, drawings, or services provided under these Terms, except where such claims arise from MECAD’s gross negligence or wilful misconduct.
8. SUBCONTRACTING
8.1. The Client acknowledges and agrees that MECAD Group of Companies (the “Service Provider”) may engage assistants, subcontractors, or employees to perform any part of the Services described in this agreement.
8.2. MECAD reserves the right to utilise internal resources from any company within the MECAD Group of Companies to fulfil service obligations without requiring prior client approval.
8.3. For any subcontractors engaged outside of the MECAD Group of Companies, MECAD shall seek and obtain the Client’s prior written consent before such subcontractors are engaged to provide services under this agreement.
8.4. The Service Provider remains fully responsible for the acts, omissions, and performance of any subcontractors or assistants engaged under this agreement.
8.5. Subcontractors are bound by the same confidentiality and data protection terms as MECAD.
